StudyTeam For Sites
Acceptable Use Terms

StudyTeam for Sites can be used under one of the following license types:

(A)  your organization has licensed the full version of StudyTeam for Sites™ for its own use across any study in which your organization is participating (“Full License”); or

(B)  a limited license for your use of StudyTeam for Sites™ on a specific study has been obtained by the sponsor of the study (“Trial Sponsor”) (a “Study-Specific License”). In either case, the licensee has obtained this license from Reify Health Inc. (along with its affiliates, known as “OneStudyTeam” or “OST”), the provider of StudyTeam for Sites™.

By using StudyTeam for Sites™ (the “Services”), you agree to abide by the following terms of Acceptable Use:

  1. You may access and use the Services solely for internal business purposes for work on clinical trial(s) permitted under your organization’s license (the “Trial(s)”). For clarity: under a Full License, an organization is entitled to use the Services for any clinical trial in which it is participating; under a Study-Specific License, an organization is entitled to use the Services for the specific clinical trial(s) licensed by the Trial Sponsor.
  2. If you are using StudyTeam under a Study-Specific License, you understand that the Trial Sponsor may authorize OST to configure the Services to communicate certain summary and/or reporting information, for example de-identified pre-screening log data, to the Trial Sponsor (“Sponsor Connection”).
  3. At all times, you must keep your user ID and password for the Services confidential and will not permit your account to be used or accessed by another individual.
  4. You must comply with all applicable laws, rules and regulations in connection with your use of the Services.
  5. You must promptly notify OST at security@onestudyteam.com of any suspected violation of these terms by you or another authorized user. OST may suspend or terminate your access to the Services in the event that OST reasonably suspects that your account credentials have been involved in a violation of these terms.
  6. You are not permitted to: (i) use the Services for work on any trial other than the Trial(s); (ii) attempt to interfere with or disrupt the Services (including any related systems or networks) or use the Services other than for their intended purpose in support of the Trials; (iii) copy, modify or distribute any portion of the Services; (v) rent, lease, or resell the Services; (vi) reverse-engineer or otherwise access the Services in order to build a competitive product or service; or (vi) transfer any of your organization’s rights hereunder.
  7. OST will use commercially reasonable technical and organizational measures designed to prevent unauthorized access, use, alteration or disclosure of the Services or data entered into the Services. However, OST will have no responsibility for errors in transmission, data inaccuracies or other data quality issues, unauthorized third-party access or other causes beyond OST’s control.
  8. You must not access, transfer, or use the Services (or any portion of the Services) in violation of applicable export laws.
  9. Order of Precedence.  In the event of a conflict among these Terms, the terms of service signed by an organization receiving a Full License, and OST’s relevant terms governing data privacy (the “Privacy Terms”), the order of precedence shall be first the Privacy Terms, then these Terms, then the terms of service, unless otherwise explicitly agreed in writing by OST.
  10. Notices.  Notices to your organization will be directed to the person identified in OST’s records as the primary point of contact for the organization. Notices to OST will be directed to OneStudyTeam, Attn: General Counsel, 33 Arch Street 17th Floor Boston, MA 02110 USA. Notices will be deemed to have been given upon: (i) the date actually delivered in person; (ii) the day after the date sent by overnight courier; (iii) three (3) days following the date such notice was mailed by first class mail; or (iv) the same day sent by email to compliance@onestudyteam.com (for notices to OST).
  11. Survival. The respective provisions of these Terms that are by their nature intended to survive the expiration or termination of these Terms will survive such expiration or termination.
